TL;DR

A modern diligence review of a target’s online footprint covers five checks: what AI assistants say about the company, where its organic traffic and conversions really come from, how its reputation reads, how consistent its business facts are, and whether its site and tracking can be trusted. Run it on the target’s own Search Console and GA4 data, and treat every gap as a priced item in the value creation plan.

Financial, legal and operational diligence are mature. Digital diligence is not. Many deal teams still open the target’s homepage, glance at a traffic estimate and move on. That misses the places where buyers now form opinions, and where a target’s revenue story can quietly fall apart. Skyfield’s private equity page covers how these programs fit a portfolio, and our SEO and GEO due diligence service runs this review for deal teams.

Why does diligence have to include AI answers?

72%
of PE professionals say AI has its main impact on research (LEK Consulting, 2026)
9.2%
of brand facts stated by AI engines were incorrect (Searchable, 2026)
38%
fewer organic clicks where Google AI Overviews appear (Field experiment, 2026)

LEK Consulting’s 2026 PE Pulse survey of 100 US buyout professionals found AI is mainly used for research, cited by 72% as its primary impact, and for synthesizing diligence material, cited by 70%. Only 21% rate their own AI expertise as advanced. Deal teams are using AI to study targets, and the target’s customers are doing the same to study the target. The post on the AI search visibility factor most PE firms miss goes deeper, and the effect carries through to exit, as covered in how AI citation authority affects brand value at exit.

That matters because AI engines build answers from outside sources, not just the company’s own site. An AirOps 2026 analysis found 85% of brand mentions in AI answers come from external domains. A target with a thin or messy footprint outside its own website can be described wrongly or skipped. The earlier post on why portfolio companies get skipped in AI answers explains the mechanism.

How do you test what AI says about the target?

Start here, because it needs no seller access. Write about 20 prompts a real buyer would use, such as “best [category] companies in “, “[company] pricing”, “[company] vs [competitor]” and “is [company] reputable”. Run each in ChatGPT, Gemini, Perplexity and Google AI Overviews, then log three things for every answer: whether the target is named, whether the facts are right and which sources were cited.

Expect errors. Searchable’s 2026 dataset of 1,704 brands and 32,556 facts, graded by the brands’ own employees, found 9.2% of facts stated by AI engines were incorrect, and 75% of brands that reviewed 20 or more facts found at least one inaccuracy. Pricing was the most error-prone category at 13.5%, followed by funding and financials at 10.9%. Searchable is a vendor, so treat the figures as directional, but the pattern is clear enough to test for. Fixing wrong answers starts with the steps in our framework for ranking in ChatGPT answers and is the core of our GEO services.

How do you check traffic quality, not just volume?

Ask for read-only Search Console and GA4 access and look past the headline number. The questions that change a valuation are about concentration and durability.

How concentrated is it? If a handful of pages or one branded query drives most organic conversions, a ranking drop or an AI answer on that query can hit revenue directly.

How much is brand versus non-brand? Branded search mostly reflects existing demand. Non-brand growth shows the company is winning new buyers.

What is the trend over 16 months? Look for step drops that line up with site changes or algorithm updates, and for impressions rising while clicks fall, a common sign of AI Overviews absorbing the click. If the target was itself acquired recently, check the common reasons organic traffic drops after an acquisition against the timeline.

Do conversions reconcile? Compare GA4 key events with the CRM or order system. Leads that analytics cannot confirm are a flag on reported pipeline.

A field experiment from early 2026 found Google AI Overviews cut organic clicks 38% on the queries where they appear. A target whose traffic sits on informational queries is more exposed than one whose traffic comes from high-intent commercial queries. Closing that gap is the job of our SEO services, and the guide to measuring SEO ROI beyond clicks shows how to judge the result.

What reputation and entity signals should you read?

AI engines and buyers both lean on third-party evidence. Review the target’s Google Business Profile, industry directories and review sites for volume, recency, rating trend and whether the company replies. Then check that its name, address, services and ownership read the same everywhere. Conflicting facts, duplicate listings and abandoned profiles from past acquisitions are common in roll-ups and are a direct cause of wrong AI answers. The reasoning is covered in why reputation now affects rankings.

How do you audit the site and tracking?

Run a technical crawl and check indexation, redirects, page speed and structured data, then confirm that conversion tracking fires on the real forms, calls and checkouts. A site can look healthy and still block indexing, lose rankings to broken redirects or report conversions twice. Also confirm who owns the domain registrar, hosting, analytics accounts and content, because assets held by a former agency or one individual have to transfer at close. For speed, the 2026 guide to Core Web Vitals shows what matters, and for structured data see schema markup strategies for rich results and AI visibility. If the target is mid-migration, our website migration SEO work protects rankings through the move. Where the site itself cannot carry the work, website development brings it up to standard.

What goes on the diligence checklist?

The table sums up the review. For the full pre-close version, see the SEO due diligence checklist every acquisition team should run before close.

Area What to check Red flag Evidence to request
AI answers What ChatGPT, Gemini, Perplexity and Google AI Overviews say about the company, its pricing, locations and leadership Wrong facts, competitors named instead, or no mention at all A log of 20 tested prompts with screenshots
Organic traffic Clicks and conversions by page and query over 16 months or more Most revenue tied to a few pages or one brand term Search Console and GA4 read access
Reputation Review volume, ratings, recency and replies across Google and industry sites Falling ratings, unanswered complaints or fake-looking reviews Profile links and an export of recent reviews
Entity consistency Name, address, phone and services across the site, listings and directories Conflicting facts or duplicate listings A list of every domain, listing and profile the company owns
Site and tracking health Redirects, indexation, speed, schema and whether conversion events fire correctly Broken tracking, blocked indexing or reported leads that analytics cannot confirm A crawl report and a GA4 key events list
Ownership and vendors Who owns the domain, hosting, accounts and content Assets held by a former agency or an individual Registrar and admin account details, vendor contracts

How do you turn findings into valuation and a plan?

Sort each finding into one of three buckets. Risks that change the price: traffic concentrated on a fragile source, or reported leads that cannot be verified. Fixes that are cheap and fast: tracking, redirects and listing cleanup. Upside the seller has not captured: weak AI visibility, thin content or a slow site in a business where buyers search.

The last bucket feeds the first 100 days. The 90 day portfolio organic revenue playbook shows how to roll it out, and the cost of waiting is laid out in what it costs to ignore SEO in the first 90 days after an acquisition.

What can fixing a weak footprint do?

Skyfield’s published case studies show what a foundation fix and sustained program can produce on a single company. In the six months to August 2026, School Outlet’s organic revenue grew 695% against the prior six months, using GA4 ecommerce data, and its Google AI Overview citations rose from 32 to 228. Results vary by company, starting position and competition. Our methodology explains how we run the work, and you can contact Skyfield to scope a review for your next target.

Frequently asked questions

How long does a digital diligence review take?

A focused review of one target usually takes a few days once Search Console and GA4 access is granted. Most of the time goes to waiting for access and to reconciling reported revenue with analytics, not to the analysis itself.

What access should we ask the seller for?

Ask for read-only access to Google Search Console, GA4 and the Google Business Profile, plus a list of every domain, subdomain and agency the company has used. Read-only access lets you pull the data yourself instead of relying on screenshots.

Can we run this review without seller access?

Partly. Public checks still work: test buyer prompts in AI assistants, review the site’s technical health, read third-party reviews and compare listings. You cannot verify traffic, conversions or revenue attribution without the target’s own data.

Why not rely on third-party traffic estimates?

Estimates are modeled, and they can miss by wide margins for small and mid-size sites. Use them only to sanity check direction. The numbers that go in an investment memo should come from the target’s own Search Console and GA4 data.

What if the target relies on one agency or one writer?

Treat it as a transition risk. Ask who owns the accounts, the domain registrar, the content and the hosting, and confirm all of it transfers at close. Concentration on a single vendor is common in smaller targets and is cheap to fix when found early.

Does a weak online footprint kill a deal?

Rarely. It more often becomes a value creation lever with a cost and timeline attached. The review is there to price the fix, not to scare the deal team, and a weak footprint in a search-driven business can be upside the seller never captured.
